Client: International agro-industrial holding

Overview: Comprehensive legal analysis and structuring of intellectual property rights in a multi-party partnership project.

Team: Anna Kravchuk, Yuliia Khalaim

Result: Developed a contractual framework that enabled proper use of all intellectual property assets, reduced legal risks, and ensured a balanced approach to the interests of all project participants.

Project Overview

The client develops culinary projects, including the launch of a ready-to-eat meals line based on unique recipes created by a renowned guest chef and distributed through a retail partner’s network.

As part of the project, the parties developed a comprehensive marketing campaign involving the creation of packaging, promotional materials, and video content featuring:

  • trademarks owned by each of the partners;
  • photographs of the finished dishes;
  • the chef’s name, image, voice, and professional reputation.

The client engaged Synergy IP Law Agency to review the agreements with the project partners, identify potential intellectual property risks, and ensure that all parties had sufficient rights to use the relevant IP assets.

The project involved multiple intellectual property rights holders and the use of personality rights related to the chef, requiring a comprehensive legal assessment and careful contractual structuring of the parties’ rights and obligations.

Scope of Work

The Synergy team:

  • identified all intellectual property assets involved in the project, determined the respective rights holders, and assessed the scope of protection available;
  • provided recommendations on strengthening protection for certain trademarks;
  • reviewed agreements, consents, and authorizations to verify whether the parties had sufficient rights to implement the project;
  • prepared amendments to contractual documents to properly regulate the relationships between the partners.
Outcome

As a result, the client received a comprehensive legal framework governing the use of intellectual property assets, which:

  • ensured the lawful use of all IP assets involved in the project;
  • balanced the interests of each partner;
  • minimized the risks of infringement claims and potential disputes.
